These Terms & Conditions (“Terms”) govern your access to and use of the website vizsteel.com (the “Website”) and any inquiries, quotations, orders, purchases, or services provided by Liaocheng Vizsteel Co.,Ltd. (the “Company”, “Vizsteel”, “we”, “us”, or “our”). By accessing the Website, submitting an inquiry, requesting a quote, or placing an order, you agree to be bound by these Terms.

If you do not agree with these Terms, please do not use the Website or proceed with any transaction.

3. Quotes, Orders, and Contract Formation

  1. A quotation (“Quote”) provided by us is valid only for the validity period stated on the Quote.

  2. A purchase is formed only when:

    • you confirm the Quote in writing (email/contract/PI), and

    • we issue an order confirmation / Proforma Invoice (“PI”) / contract, and

    • any required deposit/payment is received.

  3. If there is any conflict between these Terms and a signed contract/PI, the signed contract/PI shall prevail for that transaction.

4. Scope of Supply

  1. The scope of supply will be defined in the Quote/PI/contract and may include (as applicable): structural steel components, secondary framing, roofing/wall panels, fasteners, drawings, packing, and export loading.

  2. Unless explicitly stated in writing, the following are not included: civil/foundation works, local permits/approvals, on-site installation labor, cranes/equipment rental, local taxes/duties, inland trucking at destination, and any items not listed in the PI/contract.

5. Design, Drawings, and Technical Documents

  1. For customized projects, we may provide drawings such as GA drawings, fabrication drawings, and connection details as agreed in the PI/contract.

  2. You must review and confirm drawings in writing. Any delay in confirmation may affect lead time and delivery schedules.

  3. If you request changes after confirmation, we may revise price and schedule accordingly.

6. Pricing, Taxes, and Payment

  1. Prices are as stated in the Quote/PI/contract and may be based on Incoterms (e.g., EXW, FOB, CIF, etc.) as specified.

  2. Unless otherwise stated, prices exclude: import duties, VAT/GST, customs clearance fees, demurrage, destination charges, and local taxes at destination.

  3. Payment terms are as agreed in the PI/contract. We reserve the right to suspend production or shipment if payment is overdue.

7. Lead Time, Delivery, and Risk Transfer

  1. Production lead times are estimates and depend on finalized drawings, material availability, and payment schedule.

  2. Delivery terms shall follow the Incoterms stated in the PI/contract. Risk of loss/damage transfers according to the agreed Incoterms.

  3. We are not responsible for delays caused by carriers, port congestion, customs, force majeure, or destination-side issues.

8. Inspection, Acceptance, and Claims

  1. We encourage pre-shipment inspection. Third-party inspection may be available upon request and may incur additional costs unless included in the contract.

  2. You must check goods promptly upon arrival. Any visible damage or quantity discrepancy should be recorded with the carrier and reported to us within 7 calendar days of receipt.

  3. Any quality claims must be supported by clear evidence (photos/videos, inspection reports, batch numbers, and packing details) and submitted within 30 calendar days of receipt unless otherwise required by contract.

  4. Our liability is limited to repair, replacement, or refund (at our discretion) for the affected goods, subject to verification and contract terms.

9. Warranty (If Applicable)

  1. Warranty terms, scope, and duration (if any) will be stated in the PI/contract.

  2. Warranty does not cover: improper installation, misuse, unauthorized modifications, corrosion due to improper maintenance or environmental exposure beyond the agreed specification, or damage caused by third parties, accidents, or force majeure.

  3. Installation must follow approved drawings and applicable standards. Local engineering verification remains the buyer’s responsibility.

10. Intellectual Property

  1. All content on the Website, including text, images, graphics, logos, documents, and layout, is owned by or licensed to us and is protected by applicable intellectual property laws.

  2. You may not copy, reproduce, distribute, or use Website content for commercial purposes without our prior written consent.

  3. For project documents/drawings provided to you, you may use them only for the intended project and not for any other project or third-party manufacturing without written approval.

11. Limitation of Liability

To the maximum extent permitted by law:

  1. We are not liable for indirect, incidental, special, consequential, or punitive damages (including loss of profit, loss of use, project delays, or business interruption).

  2. Our total aggregate liability relating to any order or service shall not exceed the amount actually paid to us for the relevant goods/services giving rise to the claim.

12. Force Majeure

We are not liable for failure or delay in performance caused by events beyond our reasonable control, including but not limited to: natural disasters, fire, flood, war, strikes, government actions, epidemics/pandemics, port closures, power shortages, supply chain disruptions, or transportation interruptions. In such cases, delivery timelines may be extended, or the contract may be adjusted by mutual agreement.

13. Compliance & Export Controls

  1. You are responsible for ensuring that importation, use, and installation of the goods comply with the laws and regulations of the destination country/region.

  2. You are responsible for obtaining permits, licenses, and approvals related to import, customs clearance, and construction.

14. Third-Party Links

The Website may include links to third-party websites. We do not control these sites and are not responsible for their content, privacy policies, or practices.

15. Privacy

16. Changes to These Terms

17. Governing Law & Jurisdiction (PRC + Liaocheng Court)

  1. These Terms and any dispute arising out of or related to the Website, quotations, proforma invoices, contracts, orders, or transactions with us shall be governed by the laws of the People’s Republic of China (PRC).

  2. Any dispute, controversy, or claim that cannot be resolved through friendly consultation shall be submitted to the people’s court with jurisdiction in Liaocheng City, Shandong Province, PRC.
